Eligibility: Celebrate Our Heroes in Education (the “Contest”) is open to “Nominators” who are at least thirteen (13) years of age and work or reside in any of the following zip codes: 10510, 10522, 10570, 10591, 10607, 10530, 10605, 10562, 10603, 10504, 10533, 10606, 10502, 10523, 10583, 10595, 10601, 10532, 10573, 10594, 10604 10956, 10960, 10954, 10977, 10983, 10994, 10980, 10920, 07648, 10965, 10989, 10970, 07624, 10962, 10923, 07640, 10913, 07647, 07675, 10524, 10927, 10928, 07627, 10968, 07620 10964, 10986, 10984 (herein “Eligible Zip Codes”).
The Contest prizes are available to “Nominees” who meet the following eligibility requirements: (a) must be at least twenty-one (21) years old, and (b) must be a full-time employee of a K-12 public or private school that is located within the Eligible Zip Codes. To win the Grand Prize, a Nominee must also have a valid unrestricted driver’s license and pass Sponsor’s credit check.
Employees of Palisades Mazda, Merkle, Mazda Motor of America Inc., and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible to participate as a Nominator or Nominee. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.

Agreement to Official Rules: Participation in this Contest constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to this Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Timing: The Contest begins on October 1, 2021 at approximately 10:00 a.m. Eastern Time ("ET") and ends on November 1, 2021 at 11:59 p.m. ET (the "Contest Period"). Instagram’s servers are the official time-keeping devices for the Contest.

How to Enter: There are four (4) ways to enter.
First Create Your Nomination: During the Contest Period create a video (no longer than 1 minute) OR write an essay (not to exceed 500 words) with an optional original Photo where you nominate an eligible Nominee who as gone above and beyond for your school or your school’s community (herein your “Nomination”). Your Nomination should include details of the Nominee’s efforts and results and the name of the school where Nominee works. You must have permission from the Nominee before posting your Nomination. Your Nomination must meet conform to the following guidelines, permissions, and content restrictions.
Guidelines:
- The Nomination must meet format and size requirements for social channel used (if any); and
- The Nomination must be in English.
Permissions: Entrant must have permission from the Nominee and any other recognizable individuals who appear in the Nomination to use their names and likenesses in the Nomination and to grant the rights set forth herein. Minors may only be included in the Submission if minor included is the entrant OR if minor is entrant’s child/ward. If requested, entrant must be able to provide such permissions or proof in a form acceptable to Sponsor.
Contest Restrictions:
- The Nomination must be Nominator’s original work;
- The Nomination must not convey any claims of Sponsor’s products or services that would be deemed unsubstantiated or deceptive if made by Sponsor;
- The Nomination must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement and therefore the Nomination must not contain brand names or trademarks other than those owned by Sponsor;
- The Nomination must not contain any music;
- The Nomination must not disparage Sponsor, or any other person or party;
- Nomination must not promote or reference alcohol, illegal drugs, tobacco, or firearms/weapons, any activities that are or appear to be dangerous, or any political agenda;
- The Nomination must not contain material that is inappropriate, offensive, indecent, obscene, sexually explicit, tortious, defamatory, slanderous or libelous;
- The Nomination must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and
- The Nomination must not contain material that is unlawful, in violation of, or contrary to the laws or regulations in any state where Nomination is created.
Submit your Nomination through Email, Instagram, or Facebook.
Submit by Email: During the Contest Period, send an email to PalisadesMazdaEducationHeroes@PalisadesMazda.com and include Heroes in Education Contest in the Subject line. In the body of the email, include your name, phone number, date of birth, and your home mailing address if you live in an Eligible Zip Code or the school where you work, if you work in an Eligible Zip Code as well as your Nomination (Essay ONLY). NOTE: You may not submit a Video or Photo using this entry method.
If you choose to enter using Instagram or Facebook. Nominator must have an Instagram or Facebook account (each a “Social Account”). Creating a Social Account is free but is subject to each platform’s terms and conditions: http://instagram.com/about/legal/terms/# and https://www.facebook.com/terms.php. Posting on Instagram requires a mobile device and therefore message and data rates may apply.
Enter on Facebook: Post your Nomination on Sponsor’s Facebook Page
- You must include #PalisadesMazdaEducationHeroes #Contest and the name of your school in your original caption
- NOTE: You may not tag the Nominee in your post; and
- You must not change your Facebook handle once you have entered until the prizes are awarded (as described in Section 8).
Enter using Instagram: There are two (2) ways to enter using Instagram:

Post your Nomination on Instagram:
- You must include #PalisadesMazdaEducationHeroes #Contest and the name of your school in your original caption; and
- You may include an @mention of your Nominee’s Instagram handle in the original caption (this is optional); and
- Your Instagram account must be public and your Instagram handle must not change once you have entered and until the prizes are awarded (as described in Section 8).

Comment on Sponsor's Instagram Post:
- Locate Sponsor’s post Advertising this Contest (herein “Contest Post”)
- Comment with your Nomination essay. You may @mention your Nominee’s Instagram handle within your comment (this is optional); and
- You must not change your Instagram handle once you have entered until the prizes are awarded (as described in Section 8).
By posting on your Nomination on a social platform or submitting it by email, Instagram (herein your “Submission”), you agree that it conforms to the guidelines, permissions, and content restrictions below. Sponsor, in its sole discretion, may disqualify you if it believes that it fails to conform. Where your Submission meets all requirements, your Submission will be deemed one (1) Contest entry.
Limit: Submissions generated by script, macro or other automated means are void. Multiple Nominators are not permitted to share the same Instagram account. In the event of a dispute as to any Nomination, the authorized account holder of the Instagram account used to post the Nomination will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses used to create the Instagram account. Released Parties (as defined in Section 10, below) are not responsible for lost, late, stolen, damaged, incomplete, invalid, un-intelligible, garbled, delayed, or misdirected Submissions or failure to receive Submissions due to limitation of third-party social network platforms; all of which will be void.

Sponsor's Use of Submissions: Posting a Submission constitutes Nominator’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If requested, entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission.

Winner Determination: After the conclusion of the Contest Period, a panel of qualified judges determined by Sponsor in its sole discretion will select the six (6) entrants with the highest-scoring Submissions (the "Potential Winners") from among all eligible Submissions based on the following criteria (“Judging Criteria”):
- Submission demonstrates that Nominee is has a challenger spirit, ingenious solutions, and a commitment to the community and has demonstrated “Omotenashi” (Nominee puts others before him/herself) (70%);
- Nominee’s efforts have created substantial results for his/her School or the community (20%);
- Quality of the Nomination (10%).
The Nominee highlighted in the highest scoring Submission will be deemed the potential Grand Prize winner and all other Nominees will be deemed potential First Prize winners. In the event of a tie, the entrant whose Submission received the highest score for “Nominee’s efforts have created substantial results for his/her School or the community,” as determined by the qualified judges, in their sole discretion, will be deemed the applicable potential winner from among the tied entrants. Sponsor reserves the right to select fewer than six (6) Finalists, if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Submissions. Sponsor will not disclose judging scores.

Winner Requirements: Starting on or around November 5, 2021 @palisades_mazda will notify the Nominators or Nominees who have been selected as potential winners by a private message on Instagram. Where the potential winning Nomination Post included Nominee’s Instagram handle, the Nominee will be notified directly. If the potential winning Nomination Post did not include Nominee’s Instagram handle, Nominator will be notified. The Nominee or Nominator may be directed to a secure online claim form and asked to provide his/her name, mailing address and date of birth and where appropriate contact information of the Nominee within 1 day of the date notice or attempted notice is sent to claim the prize. The potential Grand Prize winner will also be required to sign and return (a) a Declaration of Compliance, Liability Waiver and a Publicity Release (“Declaration”), (b) an IRS Form W-9 and (c) a credit application, a Lease Agreement, proof of liability and collision insurance coverage, limits as required by the lender, and additional documents associated with lease of the vehicle, collectively Winner Documents. Grand Prize winner must complete all Winner Documents within 24 hours to claim the prize. Failure to complete all required documents may result in forfeiture of the prize. If a potential winner of any prize cannot be contacted, fails to sign and return the Declaration or provide any other requested information, within the required time period (if applicable), or the prize is returned as undeliverable, the potential winner forfeits his/her/the prize. If a potential winner is disqualified for any reason, the prize may be awarded to a runner-up who received the next highest score. Only three (3) alternate winners may be determined for each prize, after which the applicable prize will remain un-awarded.
As a condition of participating in the Contest and receiving any prize, all winners, Nominators and their Nominees must agree to participate in an event (time & date to be determined by Sponsor) that will take place at winners school, subject to the school’s permission and will be recorded on video, interviewed, and/or photographed at the time the prize is awarded or for additional publicity required by Sponsor. Any video, interview, and/or photographs taken by the Sponsor or Sponsor’s representatives, may be featured on local and national media and may be used by the Sponsor without further notice for advertising and marketing purposes in any and all media now known or hereinafter invented without territorial or time limitations and without compensation, except where prohibited by law.

Prizes: ONE (1) GRAND PRIZE: The Grand Prize Winner will receive a 36-month lease of a 2021 Mazda CX-5 including payment of registration fees and sales tax (all details and features including color will be determined by Sponsor). Winner will be required to sign a vehicle lease agreement which may have additional terms and conditions. The Grand Prize Winner will incur certain costs in receiving the 36- month single-pay lease of the Vehicle. These costs may include, but are not limited to, federal and state income taxes, and insurance costs. The Grand Prize Winner will be responsible for payment of all costs and any other expenses associated with the lease and use of the Vehicle. The Grand Prize Winner will be solely responsible for all income taxes, liability and collision insurance premiums as required by the lender, scheduled routine maintenance charges, excess wear and use charges, damage to the vehicle charges, early termination fees, excess mileage charges, gasoline, use taxes, other operating expenses and other government fees and expenses incurred as result of receiving or using the Vehicle. The vehicle must be returned at the end of the 36-month lease term as outlined in the Lease Agreement, but a purchase option will be made available. Winner will be responsible for pick up and return of Vehicle at time and location determined in the sole discretion of Sponsor.
There are no additional written or verbal warranties other than the standard new vehicle limited warranty provided with the vehicle. The Grand Prize winner must provide proof of automobile insurance prior to receiving prize. No cash value or vehicle substitutes. Lease must commence no later than November 19, 2021. Lease cannot be assigned or transferred to a third party.
The Grand Prize Winner eligibility requires credit check and is subject to credit approval by Sponsor. In order to be eligible, the selected individual must possess a valid, unrestricted U.S. driver's license and meet Sponsor’s driving and credit underwriting guidelines. In the Sponsor’s sole discretion, a selected winner may be required to forfeit the prize and an alternate winner may be selected in accordance with these Official Rules if selected winner declines, cannot accept, receive or use the prize for any reason or fails to meet the credit approval.
ALL EXPENSES OR COSTS ASSOCIATED WITH ACCEPTANCE OF THE GRAND PRIZE NOT MENTIONED HEREIN ARE THE SOLE RESPONSIBLITIY OF THE PRIZE WINNER. ANY DIFFERENCE BETWEEN THE STATED MAXIMUM APPROXIMATE RETAIL VALUE OF PRIZE AND THE ACTUAL VALUE OF SUCH PRIZE WILL NOT BE AWARDED. Sponsor shall issue Grand Prize winner an IRS form 1099 for each calendar year representing the actual value of the prize received. Approximate Retail Value (“ARV”): $15,892.20.
FIVE (5) FIRST PRIZES: A $500 prepaid card. Your payment will be delivered via email with instructions for claiming your Visa prepaid card. You must claim your card within 3 months from the date these instructions are sent via email. Your right to the payment expires after that time. Use your Visa Prepaid Card anywhere Visa debit cards are accepted in the U.S. The card may not be used at any merchant, including internet and mail or telephone order merchants, outside of the U.S. Card is issued by The Bancorp Bank, Member FDIC, pursuant to a license from Visa U.S.A. Inc. Your use of the prepaid card is governed by the Cardholder Agreement, and some fees may apply. This is not a gift card. Please note that prepaid cards are subject to expiration, so pay close attention to the expiration date of the card. ARV: $500.
For All Prizes: Prizes are non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize (or a component thereof) for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use. Limit: One (1) prize per person. Prizes will be fulfilled within 8 – 10 weeks after the end of the Contest.

Release: By receipt of any prize, each winner agrees to release and hold harmless the Sponsor, Instagram Inc., Facebook Inc., Administrator, Mazda Motor of America Inc., and their respective parent companies, subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any prize.

Publicity Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, photo, including winning Nominators and winning Nominee’s Instagram profile photo, Submission, and/or prize information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration.

General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Contest if any fraud, technical failures, human error, any other factor impairs the integrity or proper functioning of the Contest, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Contest, including but not limited to fulfillment of the prize(s), as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winner(s) from among all non-suspect, eligible Entries received up to time of such action using the judging procedure outlined above. Sponsor may also modify the prizes offered. In addition, Sponsor reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated entries. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions, the announcement of the prizes or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third-party use of any Submission.

Disputes: Except where prohibited, each entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for New York or the appropriate New York State Court; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
